Edjet software license terms

Thank you for using the Edjet software (the “Product”). The Product is provided by Netventic Technologies s.r.o. (hereinafter referred to as “Provider”), with registered office at Spálená 480/1, 602 00 Brno, Czech Republic (European Union), as the owner and provider of the property rights to the Product in the Czech Republic and Slovak Republic.

The products are protected by copyright and contain specific know-how of the provider and are part of the provider's trade secrets. The names of certain products are registered as trademarks (®) of the provider with all the consequences thereof.

These terms and conditions (“License Terms”) must be agreed to prior to the purchase of the Product. Payment of the license fee (the “Fee”) to the Provider's account on the basis of a Proforma Invoice, Invoice or other form of offer or request for payment issued for a specific product (the “Specification”) shall be deemed to be acceptance of the License Terms in full. If you do not agree to the license terms, do not pay the fee.

The entity that pays the fee (the “Assignee”) becomes the owner of a non-exclusive license and is authorized to use the Product to the extent of these license terms and specifications. The acquirer is not obliged to use the licence. The license is granted without limitation of territory (global) for the period specified in the specification. Upon the death or termination of the licensee, the right to use the licence shall pass to his successor in title.

The right to use the product means the right to use the product for the purchaser's own use without interference. The provider is not liable for damages caused by improper use of the product in violation of the documentation. The place of delivery of the product shall be deemed to be the provider's registered office.

The Purchaser is not entitled to grant the licence to a third party, even in part, without the prior express written consent of the Provider. The Acquirer shall not in any way ascertain the principles of the internal (software) operation of the Product in order to obtain the exact algorithms, procedures, source code or other software. In particular, this means reverse engineering the product.

In the event of a request for a change to the product, which is in the nature of a change in parameters related to the license terms, for example, an extension of functionality with new modules or components, an increase in the number of licensed products, an increase in the number of authorized users, the creation of templates, etc. (hereinafter referred to as “license extension”), this change is billed and specified in the same manner as in the case of the original remuneration and becomes effective at the time of crediting the remuneration to the Provider's account.

Extension of the license also means the acquisition of the right to new versions within the principle of maintenance and updating of the product (hereinafter referred to as “software maintenance”) and the acquisition of support with guaranteed parameters.

The Purchaser shall have the right to access support and training materials and documentation to the extent necessary for the end user to use the product. The Purchaser has the right to use the support services. The level of support is provided to the extent guaranteed in the specification.

The Provider has the right to restrict or cancel the license if the fee for the following license period is not paid (this does not apply to the lifetime license).

Any disputes relating to the Licence Terms shall be subject to the exclusive jurisdiction of the court of the Provider's registered office.

Liability for product defects shall be dealt with in accordance with generally applicable law.
